Impresa announced this Wednesday, November 26th, the partnership with the Italian MFE – MediaForEurope, in which the latter now holds 32.934% of the owner of SIC, and the Balsemão family maintains control of the group with 33.738%.
Impresa informed the Securities Market Commission (CMVM) that, “together with the Impreger holding, the majority shareholder of Impresa, signed an investment agreement with MFE”through which “the latter undertakes to subscribe to new shares in Impresa, to be issued as part of an increase in share capital, which will lead to it holding a shareholder position of 32.934% in the share capital” of the group.
According to the owner of SIC, “the full effectiveness of the investment agreement and, therefore, the subscription of the capital increase, is dependent on the appropriate regulatory authorizations, the confirmation, by the banking institutions creditors of Impresa, that the conclusion of the agreement does not determine the triggering of resolution or early maturity clauses in financing contracts and the approval, by the general assembly of Impresa, of authorization for the Board of Directors to deliberate and carry out the capital increase”.
This operation, “if it comes to fruition, it will allow Impresa to have a solid international partner in the media sector, with ambitions for pan-European growth and with the same passion for social communication”adds the group led by Francisco Pedro Balsemão.
